Clarissa’s practice centres on corporate and commercial law, spanning corporate advisory, private debt and equity financing, mergers and acquisitions, and corporate investigations. She regularly advises companies, financial institutions and family offices on complex transactional and regulatory matters, including capital raises, strategic investments, shareholder and control arrangements, and the negotiation and preparation of bespoke definitive agreements. Alongside this core practice, Clarissa brings valuable experience in advising high-net-worth individuals and family offices on wealth preservation, trusts and succession, and representation in complex family and wealth-related matters, enabling her to serve clients across the full spectrum of their commercial and personal interests.

Corporate Advisory and Investigations

  • Advised a company with several affiliated entities in the Southeast Asian region in developing and implementing strategic measures to retain control over key subsidiaries and maintain shareholder support during a challenging period which saw the company needing to navigate the complexities of an ongoing M&A deal, raise debt capital and terminate a key executive for employee misconduct. The complex matter comprised of an interlocking set of legal issues which generated a tide of civil and criminal litigation proceedings both locally and abroad.
  • Advised a leading homeland and infocomm security solutions provider in its participation in a multi-year sovereign cloud initiative which involves Singapore’s Home Team Science and Technology Agency and a Fortune 500 company, including negotiating and drafting bespoke definitive agreements.
  • Advised a listed multinational corporation on internal fraud and corporate misconduct investigations, crisis management, and making representations to and responding to enforcement agencies.
  • Advised a listed multinational corporation on certain business activities potentially being the subject of the applicable sanctions regimes in countries including Singapore.

Private Debt / Equity Financing

  • Advised an Indonesian solar energy solution provider on a joint venture in Vietnam focused on developing sustainability infrastructure, with an emphasis on delivering solar-as-a-service solutions.
  • Advised Export Development Canada, the Canadian government’s export credit agency, in relation to its US$100m financing facilities to Neo Performance Materials, a global chemical company, to fund the construction of a rare earth magnet facility in Estonia.
  • Advised the key management team of Indonesia’s leading omnichannel commerce enabler on the company’s Series C fundraising.

Private Wealth

  • Advised a Forbes list client on various personal and commercial legal issues and providing legal advice for the underlying businesses which is majority-owned by the client’s family.
  • Advised family offices on their intended investments into both Singapore based and overseas funds.
  • Advised on corporate structures and regulatory requirements involving family trusts, purpose trusts, private trust companies and employee benefit trusts.
  • Drafting and negotiating prenuptial, postnuptial, financial arrangement and parenting agreements for UHNW individuals, and successfully litigating such arrangements and agreements as well.
