JurisAsia’s Corporate M&A practice advises on the full spectrum of corporate and financing transactions across Southeast Asia and beyond — from early-stage growth capital to complex, multi-jurisdictional mergers and acquisitions involving listed companies, private equity funds, and major regional conglomerates. We also regularly advise on a wide range of financing transactions such as acquisition finance, private debt structures and venture debt.

The practice is led by Tan Choon Leng, with over 20 years of experience in complex cross-border M&A. He is consistently recognised by IFLR1000, Asialaw Profiles and Legal Week.
Our work spans mergers and acquisitions, foreign direct investment, joint ventures, venture equity and debt transactions, debt financing and refinancing, and capital markets advisory. We focus primarily on Singapore, Southeast Asia, and cross-border transactions between Asia and Europe or North America.

We act for vendors, acquirers, investors, borrowers, lenders, and financial advisors, and regularly work alongside international law firms, investment banks and in-house legal teams on complex, high-value matters. Beyond the transaction itself, we advise on joint venture structuring, shareholder agreements and board-level governance for listed and unlisted companies across the region.

Real Estate acquisition

Advised Stamford Land Corporation, the Singapore-listed luxury hotel owner, on its £260 million acquisition of 8 Finsbury Circus, London from Mitsubishi Estate London Limited.

Private investment

Advised Alpha Wave Global in relation to the US$250 million investment round into India-based logistics company Moglix at a valuation of US$2.6 billion. Alpha Wave Ventures is a global investment company concentrated on growth stage companies.

Gaming

Advised Codemasters Group Holdings plc, the London-listed developer and publisher of racing games, on its US$166 million acquisition of Slightly Mad Studios, the racing simulation specialist.

Multi-jurisdictional

Advised Legrand S.A. on its acquisition of Universal Electric Corporation, the leading provider of busways to data centres in the United States.

Cross-border M&A

Advised Specialist Computer Centres PLC on its acquisition of Vohkus Limited, an established IT products reseller headquartered in the United Kingdom and operates operating across many jurisdictions including Singapore, to expand its market presence and service capabilities.

Cross-border M&A

Advised Nippon Paint Group, Asia’s largest paint and coating manufacturer, on its acquisition of the Alina Group, the largest paints and coatings manufacturer in Kazakhstan. The Alina Group is a market leader in the production and distribution of dry-mix mortars, paints and varnishes products, and construction chemicals in Kazakhstan, and the leading distributor in Central Asia.

M&A

Advised the founders of Potatohead Group, the leading Indonesian hospitality and lifestyle brand, on the acquisition of a controlling stake by a Singapore-based lifestyle group.

M&A

Advised PCS Security, a leading homeland and infocomm security solutions provider in Singapore on its acquisition of a major physical security solutions provider.

Tech / VC

Advised Kopi Kenangan, a tech-enabled coffee chain that serves Indonesian-style beverages with more than 1,300 stores globally, on its Series A fundraising round of US$20 million, led by Sequioa India.

Tech / VC

Acted as Singapore counsel for the Series B funding round led by e& capital, the venture investment arm of Etisalat, in Airalo — the market-leading eSIM store operating across more than 190 countries.

Private investment

Advised a renowned family office on its investment into a local medical diagnostics company which spun off from SingHealth Duke-NUS Academic Medical Centre and the National University of Singapore.

Syndicated financing

Advised on a syndicated facilities agreement where a group of lenders — including Westpac Banking Corporation, Australia and New Zealand Banking Group, Commonwealth Bank of Australia, and Bank SinoPac — committed to lend an aggregate of A$265 million to Aristotle Holding III Pty Ltd, a special acquisition vehicle of Platinum Equity LLC, a US-headquartered private equity firm.

Financing

Advised Export Development Canada, the Canadian government’s export credit agency, on its US$100 million financing facilities to Neo Performance Materials, a global chemical company, to fund the construction of a permanent rare earth magnet facility in Estonia — the first of its kind in Europe.

Debt restructuring

Advised one of the leading banks in Indonesia, acting as new lenders, in the debt restructuring of Indonesia based natural resources company. The restructuring involved the refinancing of its existing loan facilities with an aggregate amount in excess of US$50 million.

Refinancing

Assisted on a financing and refinancing matter for a leading UK-based growth capital company involving multiple jurisdictions including Australia, China, India, Indonesia, Singapore, and Malaysia.
