Tan Choon Leng is the managing partner of JurisAsia. Dual-qualified in Singapore and England & Wales, he has spent over 25 years advising MNCs, Asian conglomerates, private equity funds and family offices on complex, multi-jurisdictional transactions across Southeast Asia and beyond.

JurisAsia was founded in 2016 with a clear mandate: to build a Singapore boutique that could advise founders, families and institutions on both their corporate transactions and their personal wealth within a single, integrated team.

Choon Leng is a visiting lecturer at the Sorbonne-Assas International Law School in Paris, where he lectures on international M&A — one of a small number of Asian practitioners to hold such a position at a leading French institution. He has authored and edited articles and publications across M&A, corporate law and private wealth, and regularly advises clients on board governance and strategy, not merely their transactions.

Vincent Tan is a Partner at JurisAsia and leads the firm’s Private Wealth and Employment practices. He advises ultra-high-net-worth families, senior executives and corporate clients across private wealth, employment law, mergers and acquisitions, and private debt and equity financing — bringing a breadth of practice that allows him to advise clients whose legal issues do not stay within a single category.

Vincent advises trust companies and ultra-high-net-worth families on family governance, succession planning, trust structures and charity formation — with personal commitment to relationships that span years, not just transactions.

His employment practice covers a broad range of matters, from executive compensation structures, contracts of employment and employee policies to individual representation at board and C-suite level. He has particular focus on employee rewards and incentive schemes, having advised on bespoke structures designed to attract and retain employees across global workforces, including several fintech companies.

Notable Transactions:

• Advising the founders of the Potatohead Group on the acquisition of a controlling stake in the Potatohead Group by a Singaporean based lifestyle group. The Potatohead Group is a leading Indonesian hospitality and lifestyle brand, which owns and operates a number of restaurants, bars and hotels in Asia, including the popular Potato Head Beach Club in Bali.
• Advised Kudo Digital, an Indonesian e-commerce company on its acquisition by Grab Inc., a leading on-demand transportation and mobile payments platform in Southeast Asia. This was a key transaction which allowed Grab to set up its mobile wallet payment solutions.
• Advised Nippon Paint Group on the acquisition of D-ACT Co., Ltd, a Thailand-based automobile and industrial paint manufacturer, as part of the group’s strategic investment in the Southeast Asian region.
• Advised Export Development Canada, the Canadian government’s export credit agency in relation to its US$100m financing facilities to a global chemical company to fund the construction of a permanent rare earth magnet facility in Estonia, which is the first of its kind in Europe.
• Advised on a syndicated facilities agreement where a group of lenders, who included amongst others, Westpac Banking Corporation, Australia and New Zealand Banking Group, Commonwealth Bank of Australia Group and Bank SinoPac Ltd. committed to lend an aggregate of A$265 million to Aristotle Holding III Pty Ltd, a special acquisition vehicle of Platinum Equity LLC, a private equity firm headquartered in the United States.
• Advised a French-based multinational retailer of personal care and beauty products on the termination of several of its high-ranking executives in its Singapore office, including the former chief executive of its Asian business.
• Advising family trusts and private trust companies in relation to their regulatory and corporate compliance requirements.
• Advised a number of fintech companies on the creation of equity / cash incentive plan schemes for their global employees. The schemes vary from complex structures that allow favourable tax treatments in other jurisdictions, to straightforward ESOP rules to allow companies to retain and attract talent.

Prashaanth Rajandran is a Senior Associate in JurisAsia’s corporate department. His practice spans mergers and acquisitions, joint ventures, employment law, capital markets, and regulatory matters — with a particular focus on transactions and situations that require legal analysis and strategic advice across more than one discipline at once.

He brings an additional dimension to the corporate practice through his background in data protection and regulatory compliance — having previously worked in an in-house data protection team where he implemented measures to comply with international data protection legislation across multiple jurisdictions. That experience informs his approach to cross-border corporate matters, where regulatory risk is increasingly at the forefront of clients’ minds.

Prashaanth advises on complex cross-border corporate reorganisation exercises, as well as employment matters for multinational employers — ranging from executive terminations and regulatory compliance to policy updates and more sensitive matters such as employee misconduct and regulatory investigations. His clients include regional conglomerates, multinational corporations, private equity sponsors, and NASDAQ-listed companies.

• M&A — Assisted the Nippon Paint Group with its acquisition of a Kazakhstan-incorporated entity, Alina Group. This complex cross-border M&A involved the drafting of transactional documentation, in-person negotiations and overseeing compliance with local regulatory requirements.
• M&A — Advised the founders of the Potatohead Group on the acquisition of a controlling stake in the Potatohead Group by a Singapore-based lifestyle group.
• M&A — Acted as Singapore counsel for Kraken Robotics Inc. on its strategic acquisition of the Covelya Group for CAD 615 million, positioning the post-acquisition group as global provider of mission-critical, dual-use subsea intelligence solutions.
• Capital Markets — Acted as Singapore counsel for Primech Holdings Limited, a Singapore-based facility maintenance management company listed on the NASDAQ, in relation to various corporate actions.
• Capital Markets — Acted as Singapore counsel for Mega Fortris Berhad, a Malaysia-based security seals company, in relation to its listing on the Main Market of Bursa Malaysia.
• Capital Markets — Acted for Credit Bureau Asia Limited, one of the largest consumer and commercial credit information providers in the region, in its initial public offering on the SGX-ST Mainboard.
• Employment — Advised a global commodities trading group on various sensitive employment issues including misconduct, significant workplace issues and terminations of various employees at different levels of the organisation.
• Employment — Advised a global personal care and beauty products brand on the termination of several senior executives overseeing regional operations and the group’s HR function.
• Employment — Advised a global paint and coatings company on various employment matters, including the termination of various country executives, negotiations with the trade union and updating employment policies.
• Employment — Advised a digital services group with a network of more than 140 countries and an investment bank on employment matters such as hiring, termination and employee compensation.
• Financing — Assisted on a financing and refinancing matter for a leading UK-based growth capital company involving Australia, China, India, Indonesia, Singapore and Malaysia.

Clarissa’s practice centres on corporate and commercial law, spanning corporate advisory, private debt and equity financing, mergers and acquisitions, and corporate investigations. She regularly advises companies, financial institutions and family offices on complex transactional and regulatory matters, including capital raises, strategic investments, shareholder and control arrangements, and the negotiation and preparation of bespoke definitive agreements. Alongside this core practice, Clarissa brings valuable experience in advising high-net-worth individuals and family offices on wealth preservation, trusts and succession, and representation in complex family and wealth-related matters, enabling her to serve clients across the full spectrum of their commercial and personal interests.

Leveraging on her unique exposure across corporate transactions, financing and dispute resolution, Clarissa is adept at guiding clients through the commercial and regulatory challenges that arise at every stage of the life-cycle of a business, and at navigating the intricate intersection of personal and financial considerations, to protect her client’s wealth well before any dispute arises. Corporate Advisory and Investigations

• Advised a company with several affiliated entities in the Southeast Asian region in developing and implementing strategic measures to retain control over key subsidiaries and maintain shareholder support during a challenging period which saw the company needing to navigate the complexities of an ongoing M&A deal, raise debt capital and terminate a key executive for employee misconduct. The complex matter comprised of an interlocking set of legal issues which generated a tide of civil and criminal litigation proceedings both locally and abroad.
• Advised a leading homeland and infocomm security solutions provider in its participation in a multi-year sovereign cloud initiative which involves Singapore’s Home Team Science and Technology Agency and a Fortune 500 company, including negotiating and drafting bespoke definitive agreements.
• Advised a listed multinational corporation on internal fraud and corporate misconduct investigations, crisis management, and making representations to and responding to enforcement agencies.
• Advised a listed multinational corporation on certain business activities potentially being the subject of the applicable sanctions regimes in countries including Singapore.

Private Debt / Equity Financing

• Advised an Indonesian solar energy solution provider on a joint venture in Vietnam focused on developing sustainability infrastructure, with an emphasis on delivering solar-as-a-service solutions.
• Advised Export Development Canada, the Canadian government’s export credit agency, in relation to its US$100m financing facilities to Neo Performance Materials, a global chemical company, to fund the construction of a rare earth magnet facility in Estonia.
• Advised the key management team of Indonesia’s leading omnichannel commerce enabler on the company’s Series C fundraising.

Private Wealth

• Advised a Forbes list client on various personal and commercial legal issues and providing legal advice for the underlying businesses which is majority-owned by the client’s family.
• Advised family offices on their intended investments into both Singapore based and overseas funds.
• Advised on corporate structures and regulatory requirements involving family trusts, purpose trusts, private trust companies and employee benefit trusts.
• Drafting and negotiating prenuptial, postnuptial, financial arrangement and parenting agreements for UHNW individuals, and successfully litigating such arrangements and agreements as well.

Daniel Lee has over 20 years’ experience in intellectual property law, with a technical background in electrical and electronic engineering.

His practice covers the full range of patent work: searches, drafting specifications, prosecution and litigation. He also manages global patent portfolios for clients across Singapore and Southeast Asia.

Before joining JurisAsia, Daniel held an in-house IP role at a major Singapore appliance manufacturer, where he helped shape IP policy and portfolio strategy. That in-house perspective informs how he advises clients now: with an eye on commercial priorities, not just legal process.

Daniel is a registered Singapore Patent Agent and a Senior Fellow of the Institute of Electrical  and Electronics Engineers.

• Drafted and managed patents for a wide range of range of clients from Singapore research institutions and universities to SMEs, Fintech startups to baby bottle manufacturers.
• Assisted in Yiap Hang Boon v Housing and Development Board [2014] SGHC 181 and advised on various aspects of the patent(s), the prosecution process, and the preparation of documents.
• Assisted in Mobilestats matter (Suit No 619 of 2011) in determining infringement of a patent owned by a local inventor.
